Chuhaijiang Terms of Service

These Terms of Service ("Terms") are an agreement between you and DATANEBULA INTELLIGENCE INC ("DataNebula," "we," "us," or "our") and govern your access to and use of Chuhaijiang websites, applications, APIs, Model Context Protocol (MCP) servers, and integrations made available through third-party services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and our Privacy and Cookie Policy. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree to these Terms, do not use the Services.

1. Eligibility and Accounts

  1. You must be at least 18 years old and legally capable of entering into a binding agreement. You may use the Services only where their use is lawful and where we make them available.
  2. You must provide accurate account information and keep it current. You are responsible for safeguarding your account, credentials, API keys, and connected-service authorizations, and for activity conducted through your account.
  3. You may not share, sell, transfer, or make your account available to another person except through account-management features that we expressly provide. Notify us promptly at info@chuhaijiang.com if you believe your account has been compromised.

2. The Services

  1. Chuhaijiang provides tools for cross-border e-commerce research, product and market analysis, content workflows, and social-commerce operations. Available features depend on your location, plan, connected accounts, and the interface or integration you use.
  2. We may add, change, suspend, or discontinue features. We will provide notice when reasonably practicable if a material change adversely affects an active paid subscription.
  3. We may offer previews, beta features, or experimental services. They may be changed or discontinued at any time and are provided without a commitment to future availability.

3. Connected Services and Third-Party Platforms

  1. The Services may connect to third-party platforms such as TikTok Shop, Amazon, and supported AI services. You authorize us to access and process information from a connected account only within the permissions you grant and as needed to provide the features you request.
  2. Your use of a third-party platform remains subject to that platform's own terms and policies. We do not control third-party services and are not responsible for their availability, decisions, data, or conduct.
  3. You represent that you have all rights and permissions required to connect an account and to direct us to access, analyze, or use its data. Revoking an authorization may disable related Chuhaijiang features.

4. AI Assistants and MCP Integrations

  1. When you use Chuhaijiang through an AI assistant or another third-party interface, that provider may send us your requested action, parameters, and authenticated account context. We return the requested Chuhaijiang results through that interface. Our Privacy and Cookie Policy explains how we handle information received by the Services.
  2. Your relationship with the AI assistant provider is governed by its own terms and privacy policy. OpenAI and other third-party providers are not parties to these Terms and do not endorse or warrant the Services unless they expressly state otherwise.
  3. The tools and permissions shown in the applicable integration define what that integration can do. You must not attempt to bypass those limits, extract credentials or hidden system information, or use an integration to perform an action you are not authorized to perform.

5. Acceptable Use

  1. You may use the Services only for lawful purposes and in accordance with these Terms, applicable documentation, and the rules of connected third-party platforms.
  2. You may not use the Services to violate law or third-party rights; infringe intellectual property, privacy, publicity, or contractual rights; distribute malware; facilitate fraud or deception; impersonate another person; or transmit unlawful, abusive, or harmful content.
  3. You may not reverse engineer or attempt to discover non-public source code except where applicable law expressly permits it; circumvent security, access, usage, or rate limits; interfere with the Services; scrape or extract data outside the functionality and permissions we provide; or resell the Services unless we authorize it in writing.
  4. You are responsible for reviewing outputs before relying on, publishing, or using them. You must comply with any disclosure, labeling, consent, and intellectual-property obligations that apply to content created or distributed using the Services.

6. Customer Content and Permissions

  1. You retain ownership of content and data you submit to the Services ("Customer Content"). You grant us a limited, worldwide license to host, copy, process, transmit, and display Customer Content only as needed to provide, secure, maintain, and improve the Services, comply with law, and enforce these Terms.
  2. You represent that you have the rights and permissions necessary for us to process Customer Content as directed by you. You must not submit sensitive or regulated information unless the applicable Service expressly supports it and you are authorized to do so.
  3. If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation to you.

7. Chuhaijiang Intellectual Property

  1. We and our licensors own the Services, including the software, interfaces, documentation, trademarks, and other materials we provide, excluding Customer Content and third-party materials.
  2. Subject to these Terms and your applicable plan, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal personal or business purposes. No other rights are granted.
  3. Outputs may include or be based on information supplied by third parties. These Terms do not grant you ownership of third-party materials or permission to use them beyond what applicable law and the relevant third party allow.

8. Fees and Paid Services

  1. Prices, usage allowances, subscription periods, credits, and payment terms are shown when you purchase a plan or set out in an order form. You authorize us and our payment providers to charge the applicable amounts and taxes using your selected payment method.
  2. Except where required by law or expressly stated in the applicable purchase terms, fees are non-refundable. Usage credits and similar service entitlements have no cash value, are not transferable, and may expire as described at purchase.
  3. If payment is overdue or cannot be completed, we may limit or suspend paid features after providing any notice required by law or the applicable order form.

9. Research Results and Third-Party Data

  1. Research, analytics, estimates, rankings, recommendations, and other outputs are provided for informational purposes. They may be incomplete, delayed, unavailable, or affected by third-party data and methodology changes.
  2. We do not guarantee that any output is accurate, complete, unique, or suitable for a particular business decision. You are responsible for independently verifying material information and for decisions you make using the Services.
  3. The Services do not provide legal, tax, financial, investment, or other regulated professional advice.

10. Privacy and Security

  1. Our Privacy and Cookie Policy describes how we collect, use, share, retain, and delete personal information and connected-platform data.
  2. We use reasonable administrative, technical, and organizational safeguards, but no online service can guarantee absolute security. You are responsible for configuring your account and integrations appropriately and for maintaining secure devices and credentials.

11. Suspension and Termination

  1. You may stop using the Services at any time. You may request account deletion using the available account controls or by contacting info@chuhaijiang.com.
  2. We may suspend or terminate access if we reasonably believe you violated these Terms, created security or legal risk, failed to pay amounts due, or used the Services in a way that could harm us, our users, or third parties. Where appropriate, we will provide notice and an opportunity to address the issue.
  3. Upon termination, your right to use the Services ends. Provisions that by their nature should survive will remain in effect, including provisions concerning ownership, fees owed, disclaimers, liability, indemnity, and dispute resolution. Data handling after termination is governed by our Privacy and Cookie Policy and applicable law.

12. Disclaimers

  1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
  2. WE DO NOT WARRANT THIRD-PARTY PLATFORMS, DATA, CONTENT, OR SERVICES, OR THAT THE SERVICES WILL ACHIEVE A PARTICULAR COMMERCIAL RESULT.
  3. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded, including any non-waivable consumer rights that apply to you.

13. Limitation of Liability

  1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATANEBULA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITIES, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS.
  2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100.
  3. These limitations do not apply to liability that cannot be limited under applicable law.

14. Indemnification

  1. To the extent permitted by law, you will defend, indemnify, and hold harmless DataNebula and its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, and reasonable expenses (including legal fees) arising from your Customer Content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.

15. Governing Law and Disputes

  1. These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Santa Clara County, California, and each party consents to their jurisdiction and venue.
  2. Before filing a claim, each party agrees to try in good faith for 30 days to resolve the dispute informally. Contact us at info@chuhaijiang.com with a description of the dispute. This requirement does not prevent either party from seeking urgent injunctive relief.
  3. If applicable law gives you non-waivable rights or requires a different forum, those rights and requirements control.

16. Changes to These Terms

  1. We may update these Terms from time to time. If a change is material, we will provide reasonable notice through the Services, by email, or by another appropriate method before the change takes effect, unless an immediate change is required for legal or security reasons.
  2. The "Last Updated" date identifies the current version. By continuing to use the Services after updated Terms take effect, you agree to the updated Terms. If you do not agree, you must stop using the Services.

17. General Terms

  1. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets, or to an affiliate.
  2. If any provision is found unenforceable, it will be modified only to the extent necessary and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver.
  3. These Terms, our Privacy and Cookie Policy, and any applicable order form or service-specific terms constitute the entire agreement concerning the Services. If an order form conflicts with these Terms, the order form controls for that order.
  4. The Services may be subject to export-control and sanctions laws. You may not use or export the Services in violation of those laws.
